Technology is changing the functioning of the corporation in significant ways. There are also challenges to the corporate form itself. These changes present both opportunities and challenges to corporations, regulators, and society. While the law, particularly corporate law, plays catch up with a number of these developments, corporate law scholars, practitioners, and policy makers have been thinking through these technological changes and their implications, sometimes anticipating future changes and use cases of technology, and possible regulatory responses. This course aims to survey and assess changes to the corporation and its functioning, the potential benefits and risks of these changes, and regulatory options. The course takes a global and comparative approach.
Learning Outcomes
Upon successful completion, students will have the knowledge and skills to:
- Synthesise knowledge of relevant developments and literature regarding the impact of technology on the corporate form, on the mechanics of corporate functioning, and potential regulatory responses to these changes.
- Critically reflect on the promises and perils of technology-driven changes to the corporation and its functioning.
- Critically assess the different regulatory options to address technology driven changes to the corporation including the creation of new business forms.
- Evaluate international differences and similarities on relevant issues.

Workload
- Classes offered in non-standard sessions will be taught on an intensive base with compulsory contact hours (approximately 26 hours of face to face teaching). The course will also require advanced preparation through assigned readings. In total, it is anticipated that the hours required for completion of this course (class preparation, teaching and completion of assessment) will not exceed 120 hours.
- Classes offered during semester periods are expected to have three contact hours per week.
