This course provides an understanding of Australian corporate law. The course is structured to meet the admission requirements for practice as a legal practitioner in the Australian states and Territories. The following topics will be covered:
- forms of business association, including partnership;
- incorporation and the concept of separate legal personality;
- the corporate constitution;
- membership of the corporation and share capital;
- corporate contracting;
- duties and liabilities of directors and officers;
- basic features of the management of companies;
- shareholders' remedies;
- company credit and security arrangements; and
- winding up.

1. Identify, explain and apply the principles of corporations law covered in the course;
2. Identify, critique and analyse the policy issues underpinning the corporate laws covered in the course.
3. Access, use, interpret and apply complex statutory material to resolve corporate law problems and issues;
4. Select and apply a range of approaches to written and oral communication, and apply the critical thinking required to bring about solutions to complex corporate law problems;
5. Plan and conduct a research project, with intellectual independence.
Other Information
This course is a prerequisite for Takeovers and Securities Industry Law and Bankruptcy and Insolvency. Corporations Law is normally taken in either third or fourth year of a combined degree.
Indicative Assessment
It is anticipated that the assessment for this course will comprise a mid-semester assessment (in the form of an online exam including one problem and one essay question) and an end of semester exam.
The ANU uses Turnitin to enhance student citation and referencing techniques, and to assess assignment submissions as a component of the University's approach to managing Academic Integrity. Workload
This course involves four hours of lectures (2 x two hour lectures) per week for the first three weeks of the course. From week four, the lectures will reduce to one two-hour and one one-hour lecture per week, in addition students need to attend a one hour tutorial. Students are generally expected to devote at least 10 hours overall per week to this course.Requisite and Incompatibility
