This course provides an understanding of Australian corporate law. The course is structured to meet the admission requirements for practice as a legal practitioner in the Australian states and territories. The following topics will be covered:
- forms of business association, including partnership;
- incorporation and the concept of separate legal personality;
- the corporate constitution;
- membership of the corporation and share capital;
- corporate contracting;
- duties and liabilities of directors and officers;
- basic features of the management of companies;
- shareholders' remedies;
- company credit and security arrangements; and
- winding up.
This course meets the requirements of the Law Admissions Consultative Committee Prescribed Academic Areas of Knowledge for Company Law.
Learning Outcomes
Upon successful completion, students will have the knowledge and skills to:
- Synthesise and apply the fundamental principles of corporations law.
- Analyse the theory and policy issues underpinning corporate law, incorporating a diverse range of perspectives.
- Research, interpret and apply complex statutory material to solve corporations law problems.
- Select and apply a range of approaches to written or oral communication, and apply the critical thinking required to bring about solutions to complex corporate law problems.
Other Information
This course is a prerequisite for Takeovers and Securities Industry Law and Bankruptcy and Insolvency. Corporations Law is normally taken in either third or fourth year of a combined degree.

Workload
- Classes offered in non-standard sessions will be taught on an intensive base with compulsory contact hours (approximately 36 hours of face to face teaching). The course will also require advanced preparation through assigned readings. In total, it is anticipated that the hours required for completion of this course (class preparation, teaching and completion of assessment) will not exceed 120 hours.
- Classes offered during semester periods are expected to have three contact hours per week. Students are generally expected to devote at least 10 hours overall per week to this course.
